Please read these Terms of Service carefully before using invly.co.uk. By creating an account or using any part of the service, you agree to be bound by these terms. If you do not agree, please do not use invly.

01 Acceptance of terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“User”, “you”) and invly (“invly”, “we”, “us”), the operator of the website and platform at invly.co.uk.

By registering for an account, accessing, or using the service in any way, you confirm that:

invly is a cloud-based invoice management platform designed for UK freelancers and small businesses. The service allows you to:

invly is a productivity tool, not a regulated financial or accounting service. It does not constitute financial, legal, or tax advice. You remain solely responsible for the accuracy of invoices you issue and for your own tax obligations.

03 Account registration

To use invly you must register for an account using a valid email address and a password of at least 8 characters. You are responsible for:

You may not share your account with other individuals or use another person’s account without permission. Each account is for use by one business entity or sole trader.

We reserve the right to suspend or terminate accounts that are found to be in violation of these Terms, used fraudulently, or left inactive for an extended period, with reasonable notice given where possible.

invly is available on two tiers:

The Free plan is available indefinitely at no cost. We reserve the right to adjust the features included in either plan with reasonable prior notice.

05 Billing & payments

Premium subscriptions are billed through PayPal on a monthly or annual basis. By subscribing, you authorise recurring charges to your PayPal account at the rate displayed at checkout.

All prices are displayed inclusive of VAT where applicable. Payments are processed securely by PayPal — we do not store your card or bank details.

Cancellation & refunds: You may cancel your Premium subscription at any time via your account settings or by contacting us. Upon cancellation your Premium access continues until the end of the current billing period. We do not offer pro-rata refunds for unused time, except where required by UK consumer law.

UK consumers have the right to cancel a subscription within 14 days of first purchase (cooling-off period) under the Consumer Contracts Regulations 2013, unless the digital service has already been fully performed with your prior consent.

06 Acceptable use

You agree to use invly only for lawful purposes and in accordance with these Terms. You must not:

07 Your data & content

You retain full ownership of all data you enter into invly, including invoice content, client details, and company information (“Your Content”).

By using the service, you grant invly a limited, non-exclusive licence to store and process Your Content solely for the purpose of providing the service to you. We do not sell, share, or use Your Content for any purpose beyond operating and improving invly.

You are responsible for ensuring that any personal data you enter about your clients (names, email addresses, etc.) is handled in compliance with UK GDPR. invly acts as a data processor in relation to your clients’ data, and you are the data controller.

Data export & deletion: You may export your data at any time from your account settings. Upon account deletion, your data is permanently removed from our systems within 30 days, except where retention is required by law.

08 Intellectual property

All intellectual property rights in the invly platform — including its design, source code, branding, logos, and content — are owned by or licensed to invly. Nothing in these Terms grants you any rights in that intellectual property.

You may not copy, reproduce, modify, or create derivative works from any part of the invly platform without our express written permission.

If you provide feedback, suggestions, or ideas about the service, you grant us a royalty-free, perpetual licence to use those ideas in any way we choose, without obligation to you.

09 Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, either express or implied, except as required by law.

We do not warrant that:

invly is not a substitute for professional accounting, legal, or financial advice. Always consult a qualified accountant or solicitor for matters relating to tax compliance, VAT, or business finances.

10 Limitation of liability

To the fullest extent permitted by English law, invly shall not be liable for any:

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total amount paid by you to invly in the 12 months preceding the claim, or £50, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11 Termination

You may delete your invly account at any time from your account settings. Upon deletion, your access to the service will end immediately and your data will be scheduled for permanent removal.

We may suspend or terminate your account at any time if:

We may update these Terms from time to time to reflect changes in the service, our practices, or applicable law. When we make material changes, we will:
